1. Acceptance of Terms

By accessing, registering for, or using the CoinAdMedia platform at coinad.media (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you and CoinAdMedia OÜ, a company registered in Estonia. If you do not agree to these Terms, you must not use the Platform. We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Platform. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

2. Services Description

CoinAdMedia operates a digital advertising network specializing in cryptocurrency, blockchain, and Web3 audiences. Our services connect advertisers seeking to promote their products and services with publishers who operate websites catering to crypto audiences. The Platform provides tools for campaign creation, ad placement, audience targeting, performance reporting, and payment processing. CoinAdMedia acts as an intermediary between advertisers and publishers and does not guarantee specific advertising results, traffic volumes, or conversion rates.

3. User Accounts

To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify CoinAdMedia immediately of any unauthorized use of your account.

You must be at least 18 years of age to create an account. By registering, you represent and warrant that you have the legal capacity to enter into these Terms. CoinAdMedia reserves the right to suspend or terminate any account at its sole discretion, including for violation of these Terms or suspected fraudulent activity.

4. Advertiser Terms

Advertisers are responsible for ensuring that all advertising content, creatives, and landing pages comply with applicable laws, regulations, and CoinAdMedia’s advertising policies. All campaigns are subject to review and approval by CoinAdMedia before going live. CoinAdMedia reserves the right to reject or remove any campaign that violates our policies or applicable laws.

Advertisers agree to provide truthful, non-misleading advertising content. Claims made in advertisements must be substantiated. CoinAdMedia is not liable for the content of advertiser campaigns and advertisers shall indemnify CoinAdMedia against any claims arising from their advertising content.

5. Publisher Terms

Publishers must operate legitimate websites with genuine traffic. Publishers are prohibited from generating artificial traffic, including but not limited to bot traffic, click fraud, impression fraud, or incentivized clicks. CoinAdMedia employs fraud detection systems and reserves the right to withhold payments and terminate accounts where fraudulent activity is detected.

Publishers must implement ad placements in accordance with CoinAdMedia’s technical specifications and placement guidelines. Publishers may not modify ad code or interfere with ad delivery mechanisms. Publisher websites must comply with all applicable laws and must not contain illegal, harmful, or infringing content.

6. Payment Terms

CoinAdMedia supports payments in major cryptocurrencies including USDT (Tether), BTC (Bitcoin), ETH (Ethereum), and USDC (USD Coin), as well as traditional payment methods where available. Payment amounts, schedules, and minimum thresholds are specified in the Platform dashboard and may be updated from time to time.

Advertiser deposits are non-refundable once campaigns have begun delivering impressions, except at CoinAdMedia’s sole discretion. Publisher payments are processed on a monthly basis, subject to reaching the minimum payout threshold. CoinAdMedia reserves the right to adjust payments in cases of detected fraud or invalid traffic. All fees, rates, and payment terms are denominated in the currency specified at the time of transaction.

7. Intellectual Property

All intellectual property rights in the Platform, including its software, design, text, graphics, logos, and trademarks, are owned by CoinAdMedia OÜ or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent from CoinAdMedia.

Advertisers retain ownership of their advertising content and grant CoinAdMedia a non-exclusive license to display, distribute, and serve their advertisements through the Platform and publisher network for the duration of their campaigns.

8. Prohibited Content

The following categories of content are strictly prohibited on the CoinAdMedia platform:

• Fraudulent or deceptive schemes, including Ponzi schemes, pyramid schemes, and rug pulls
• Unregistered securities offerings or investment schemes that violate applicable securities laws
• Malware, phishing, or any content designed to compromise user security or steal personal information
• Content promoting illegal activities, violence, hate speech, discrimination, or harassment
• Adult or sexually explicit content
• Content that infringes on the intellectual property rights of third parties
• Misleading claims about investment returns, guaranteed profits, or risk-free opportunities

9. Limitation of Liability

To the maximum extent permitted by applicable law, CoinAdMedia OÜ, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform. This includes, without limitation, loss of profits, revenue, data, or business opportunities.

CoinAdMedia’s total aggregate liability for all claims arising from or relating to these Terms or your use of the Platform shall not exceed the total amount paid by you to CoinAdMedia during the twelve (12) months preceding the claim, or one hundred euros (€100), whichever is greater. The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

10. Termination

Either party may terminate the relationship at any time by providing written notice. CoinAdMedia may suspend or terminate your account immediately and without prior notice if you breach these Terms, engage in fraudulent activity, or if required by law or regulatory authority. Upon termination, your right to use the Platform ceases immediately.

Advertiser balances remaining at the time of termination may be refunded at CoinAdMedia’s discretion, less any amounts owed for services already rendered. Publisher earnings accrued prior to termination will be paid out in accordance with the standard payment schedule, provided the minimum payout threshold has been met and no fraudulent activity has been detected. Sections of these Terms that by their nature should survive termination shall remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The failure of CoinAdMedia to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and CoinAdMedia regarding your use of the Platform and supersede all prior agreements and understandings.
